  1. TECH DATA TDONCD LICENSE AGREEMENT

  3. NOTICE:  READ ALL TERMS AND CONDITIONS OF THIS LICENSE ON THE FOLLOWING 
  4. SCREENS.  BY PRESSING THE YES BUTTON, YOUR COMPUTER RESELLER ORGANIZATION 
  5. (YOU) AGREES TO THESE TERMS AND CONDITIONS, AND BY ACCESSING THE DATABASE 
  6. ESTABLISHED BY TECH DATA CORPORATION (TECH DATA) FOR USE WITH THIS SOFTWARE, 
  7. YOU RECONFIRM YOUR AGREEMENT.  IF YOU DO NOT AGREE TO THESE TERMS AND 
  8. CONDITIONS, YOU MAY, BEFORE ACCESSING THE DATABASE, PRESS THE CANCEL BUTTON, 
  9. RETURN THE ACCOMPANYING PRODUCT CONTAINER AND ITS CONTENTS, INCLUDING THE 
  10. SOFTWARE MEDIA PACKAGE, TO TECH DATA.  THIS LICENSE IS EFFECTIVE PERPETUALLY 
  11. FROM THE DAY YOU INITIALLY ACCESS THE DATABASE, OR FOR SUCH LESSER PERIOD AS 
  12. YOU REMAIN AN AUTHORIZED RESELLER OF TECH DATA, PROVIDED IN EVERY CASE THAT 
  13. YOU ACCESS THE DATABASE WITHIN ONE YEAR AFTER INITIAL DELIVERY AND EACH 
  14. SUBSEQUENT ACCESS.

  16. LICENSE

  18. The software and the database are not sold but licensed to you for your use in your review, selection 
  19. and order preparation of Tech Data's products.  Your license is perpetual, subject to your maintaining 
  20. authorized reseller status; nontransferable and nonexclusive; and for use only by your employees 
  21. engaged in your computer reseller business and only in accordance with this license.  YOU MAY NOT, 
  22. except as otherwise specified in this License, (a) copy any of the software or the database, (b) distribute, 
  23. rent, sublicense or otherwise transfer or disclose, or transmit any of the software or the database 
  24. electronically, to any person or entity, (c) modify, translate, merge or prepare derivative works from the 
  25. software or the database, or (d) use any of the software or the database for service bureau or other 
  26. purposes not specified in this License.  You may, however, use the database information to produce and 
  27. provide to your customers, customized price lists, proposals, quotes or other documents related to the 
  28. offer or sale by you of products listed in the database.
  29.  
  30. Software.  The software includes all concepts, user and program interfaces and structures, functionality, 
  31. computer code and other technology inherent in the accompanying computer software program and all 
  32. copies of the software.  You may make and maintain one copy of the software per employee making 
  33. authorized use of the software.  YOU MAY NOT decompile, disassemble, probe, or otherwise reverse 
  34. engineer the software.

  36. Database.  The database includes all information accessible from Tech Data or third parties through the 
  37. software, which may include, but is not limited to, data structures, technical and other specifications, 
  38. pricing, advice and other data or information.  All data and other information available on the database or 
  39. through the software is proprietary, confidential and the sole property of Tech Data or third parties which 
  40. license Tech Data.  Such data and other information can only be used as stated in this license.

  42. TDonCD contains certain software and databases which are licensed to Tech Data for redistribution by 
  43. third parties.  Some of these products contain separate license agreement and copyright notices to 
  44. which you should refer prior to the use of such products.

  46. DISCLAIMER OF WARRANTY; LIMITATION OF REMEDIES
  47.  
  48. Tech Data is licensing the software program AS IS.  You acknowledge that this program is licensed for 
  49. use by you as a convenience for you in communicating with Tech Data.
  50.  
  51. TECH DATA HEREBY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS, 
  52. STATUTORY OR OTHERWISE, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE 
  53. IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  
  54. TECH DATA SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES 
  55. ARISING FROM THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF 
  56. SUCH DAMAGES.  THE DATABASE CONTAINS INFORMATION OBTAINED BY TECH DATA FROM 
  57. MANUFACTURERS AND OTHERS THAT INDUSTRY SOURCES BELIEVE RELIABLE, BUT TECH 
  58. DATA MAKES NO WARRANTY AND DISCLAIMS ALL LIABILITY REGARDING DATABASE ERRORS 
  59. AND OMISSIONS, INCLUDING ERRORS OR OMISSIONS IN PRICES STATED.  YOU AGREE THAT 
  60. THE SOFTWARE GIVES YOU A SIGNIFICANT BENEFIT FOR MODEST ECONOMIC 
  61. CONSIDERATION.  YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY BREACH OF THIS 
  62. AGREEMENT BY TECH DATA SHALL BE RETURN OF ANY LICENSE FEE PAID BY YOU TO TECH 
  63. DATA.  IN NO EVENT WILL TECH DATA BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, 
  64. INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES ON ANY LEGAL THEORY WHETHER 
  65. IN CONTRACT, TORT, EQUITY OR AT LAW EVEN IF ADVISED OF THE POSSIBILITY OF SUCH 
  66. DAMAGES.

  68. This License is governed by internal Florida law and the Federal law of copyright.  This License 
  69. constitutes the entire agreement of the parties related to the subject matter hereof.
